The Principal Contract Manager plays a critical role in supporting a large-scale business and technology modernization program by overseeing the full lifecycle management of multiple strategic third-party contracts. This role is responsible for contract governance, compliance, performance monitoring, and commercial risk management across complex system integration and professional services engagements.
The ideal candidate brings deep experience managing sophisticated contracts in large transformation programs, partnering with cross-functional stakeholders, advising senior leadership, and ensuring consistent contract governance and compliance practices across the organization.
This is a hybrid role, requiring a combination of remote work and on-site presence based on business needs. Location: Oakland, CA or San Ramon, CA
Key Responsibilities
- Lead supplier relationship management for system integrators and strategic third-party vendors
- Manage contracts across their full lifecycle, including negotiations, amendments, renewals, extensions, and change orders
- Advise senior leaders on contracting strategy, commercial structures, and negotiation approaches
- Independently negotiate and resolve complex contractual issues and disputes
- Review and assess Statements of Work (SOWs) for alignment with master agreements and commercial terms
- Partner with business stakeholders to define clear scope, deliverables, performance metrics, and pricing structures
- Monitor vendor performance using KPIs, scorecards, and formal performance reviews
- Identify, analyze, and mitigate contract compliance risks and value leakage
- Serve as the primary liaison with Legal, Risk, and Compliance teams
- Track contractual obligations, milestones, and deliverables across programs
- Improve or design contract management and vendor governance processes
- Prepare executive-level reporting on contract compliance, vendor performance, and risk
- Provide guidance, mentoring, and training to contract management staff and business stakeholders
Qualifications
Minimum:
- Bachelor’s degree or equivalent experience
- 9+ years of experience in contract management, strategic sourcing, or commercial governance supporting large-scale digital or ERP transformation programs
- Proven experience managing complex system integrator and professional services contracts
Preferred:
- Master’s degree in a related field
- Certifications such as PMP, PgMP, or Lean Six Sigma (Green or Black Belt)
- Experience with QA/QC of contract documentation and continuous process improvement
- Strong negotiation, conflict resolution, and stakeholder management skills
- Knowledge of budgeting, commercial models, RFPs, and vendor governance
- Advanced analytical and problem-solving capabilities
- Advanced proficiency with Microsoft Office and contract management systems (e.g., SAP, Ariba, SRM)
